الملخص

الأهداف: هدفت الدراسة إلى بيان مدى تأثر أسهم الشركة المساهمة الخاصة عند تحويلها إلى شركة مساهمة العامة، حيث أن الأخيرة لها تنظيم قانوني مختلف من حيث هيكلتها وأسهمها وطريقة تجميع رأس مالها.

المنهجية: اعتمدت هذه الدراسة المنهج الوصفي بجانبيه؛ التحليلي لنصوص قانون الشركات والتشريعات ذات العلاقة، والعملي المتمثل بأحكام القضاء. وتم تقسيم هذه الدراسة إلى مطلبين رئيسين: الأول يبحث في أثر التحول على الخصائص العامة لرأسمال وأسهم الشركة، والثاني يبحث في أثر التحول على خصائص كل نوع من أنواع أسهم الشركة المساهمة الخاصة.

النتائج: يستلزم تحول الشركة المساهمة الخاصة إلى عامة التغيير في أحكام رأسمالها، كما أن ذلك يؤدي إلى خضوع أسهمها لمبدأ النظام القانوني بعد أن كان يحكمها مبدأ حرية الإرادة. وكأثر للتحول أيضا تزول امتيازات الأسهم وقابليتها للاسترداد واختلاف فئاتها وأنواعها وقيمتها الاسمية لتصبح من نوع واحد هي الأسهم العادية، إضافة إلى أن هذا التحول لن يؤدي إلى منع مؤسسي الشركة المتحولة من بيع أسهمهم فور إدراجها بالسوق المالي.

الخلاصة: تؤثر عملية التحول على أحكام الشركة المتحولة؛ فيما يتعلق برأسمالها وأسهمها وامتيازاتها وحرية الشركاء في بيع أسهمهم. هناك ضرورة أن يصدر المشرع الأردني تعليمات خاصة بأسهم خزينة وأخرى خاصة بإدراج وتداول الأوراق المالية التي تصدرها الشركة المساهمة الخاصة.
