تتناول الدراسة النظام القانوني لشركة الشخص الواحد في النظام السعودي كمستجد قانوني في الاقتصاد السعودي، حيث أجاز المشرع السعودي بموجب نظام الشركات التجارية الجديد الصادر في 2015م، للشخص بمفرده (طبيعي أو اعتباري) تأسيس شركة، وذلك في شكلين من أشكال الشركات هما الشركة ذات المسؤولية المحدودة وشركة المساهمة، ويأتي تبني المشرع السعودي لشركة الشخص الواحد أتساقًا مع الرؤية التي تبنتها المملكة العربية السعودية لأجل إشراك القطاع الخاص في الاقتصاد القومي باعتباره داعمًا رئيسيًا له، وتأتي إجازة المشرع لتأسيس شركة من شخص واحد محفزًا قويًا لقطاع الأعمال للعديد من الأسباب أجلها تحديد مسؤولية الشريك بما رصده كرأس مال للشركة دون أن تتعدى مسئوليته عن ديونها لذمته المالية الشخصية، ويعد تأسيس شركة من شخص واحد استثناء من الأصل الذي تبنته المادة الثانية من نظام الشركات المتمثل في وجوب تعدد الشركاء كركن موضوعي خاص كنتيجة بأن الشركة عقد بين اثنين فأكثر، استثناء واستثناء كذلك على مبدأ وحدة الذمة المالية، لذلك تتناول الدراسة ماهية شركة الشخص الواحد، والخصائص المميزة لها بحسب أنها شركة إلا أنها مؤسسة من شخص واحد، وأيضًا أهميتها الاقتصادية التي أدت لتبني المشرع السعودي لإجازة استثناء على عدد من المسلمات القانونية في تأسيس الشركات، ومن ثم تتعرض الدراسة لوسائل تأسيس شركة الشخص الواحد وآلية إدارتها وانقضائها.
