تناول البحث الفروق الفقهية بين الوكالة المفردة والوكالة التي تضمنتها الشركات عند الحنفية، ووضع تعريف للوكالة الضمنية، وبين القواعد والضوابط الفقهية التي أثرت في تكوين هذه الفروق وقد بلغ عدد الفروق ستة عشر فرقاً، وقاعدتين، وضابطان. اتبعت الدراسة المنهج الاستقرائي حيث عملت فيه على استقراء الفروق التي جاءت في البدائع في كتاب الشركات، نصاً واشارة، مع توثيقها من كتب المذهب والمنهج التحليلي لتحليل الفروق الفقهية بين الوكالتين من خلال عبارة الكاساني، لايجاد القواعد والضوابط التي أثرت في الفروق و المنهج الاستنباطي حيث عمل الباحث على استخراج القواعد والضوابط التي أثرت في تكوين هذه الفروق، وتوظيفها بما يخدم البحث. وظهر في البحث كيف شكلت الفروق الفقهية بين الوكالتين سبباً من أسباب الاختلاف بين الفقهاء، وقيام الشركات عند الحنفية على قاعدة" ما جاز التوكيل به جازت الشركة فيه"، وأثر الاختلاف بين أئمة المذهب الحنفي في حجم الفروق الفقهية. يوصي الباحث بضرورة الاهتمام بالدراسات المتعلقة بالفروقات الفقهية في باب المعاملات من الناحية الشرعية، ومقارنتها بالدراسات القانونية في مجال الوكالة والكفالة المفردة والضمنية.
